These Terms of Sale govern the purchase of executive compensation benchmarking reports (“Reports”) from RepCor, a product of Mount Carmel Ventures LLC (“RepCor,” “we,” “us”). By placing an order through repcor.ai or our payment links, you agree to these terms.
What You Are Buying
Reports are custom research documents compiled from publicly available SEC filings and other public market data for the company ticker you specify at checkout. Each Report is prepared for the purchasing company and its board of directors and compensation committee. Core Reports are $1,500 and Production Reports are $2,500, plus any applicable sales tax.
Delivery
Reports are delivered as a PDF to the email address provided at checkout within one (1) business day of payment, unless we contact you about scope questions (for example, an ambiguous ticker or a request for a custom peer group). If we cannot deliver within one business day, we will notify you with a revised delivery time, and you may cancel for a full refund any time before delivery.
Not Professional Advice
Reports are informational research based on public disclosures. They are not legal, tax, accounting, investment, or compensation-consulting advice, and no engagement, fiduciary duty, or advisor relationship is created by a purchase. Figures are cited to their SEC source filings; despite careful review, we do not warrant that source filings are complete or error-free. Your board and its advisors remain solely responsible for compensation decisions.
License
Upon full payment, the purchasing company receives a perpetual, non-exclusive license to use the Report internally, including sharing with its directors, officers, employees, auditors, and professional advisors. Reports may not be resold, republished, or distributed publicly without our written consent.
Limitation of Liability
To the maximum extent permitted by law, our total liability arising out of any Report or these terms is limited to the amount you paid for the Report. We are not liable for indirect, incidental, consequential, or punitive damages.
Governing Law
These terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Los Angeles County, California.
